Terms and Conditions of Service

1. Company Information

2. Services Provided

We provide professional eCommerce agency solutions including, but not limited to:

• eBay Store Solutions: Cassini algorithmic listing optimization, custom mobile-responsive HTML templates compliant with eBay policies, item specifics taxonomy completion, variation setup, and catalog audit.
• Amazon Store Management: Listing creation, Parent-Child variation architecture, backend search term indexing, Amazon Brand Store setup, and A+ Content (EBC) creation.
• Shopify & Multi-Channel Sync: Catalog organization, collections setup, feed integration, and cross-channel inventory syncing.
• Walmart Marketplace: Item Spec 5.0 bulk uploads, rich media implementation, and WFS onboarding assistance.
• eCommerce Operational Assistants: Dedicated listing coordinators and virtual assistants for inventory monitoring, daily order routing, and buyer dispute communications.

3. Service Level Agreements (SLAs) & Turnaround

We take pride in our rapid, defect-free execution standards:

• Standard Listing Turnaround: Routine listing creation and catalog batch updates are processed within 24 to 48 business hours following receipt of required product specifications and approved assets.
• Store Audits: Initial 100-SKU audits are delivered within 1 to 2 business days.
• Urgent Maintenance: Critical stock updates or pricing fixes are addressed on prioritized same-day escalation channels.

4. Client Responsibilities & Platform Access

To enable us to perform services without delay, the Client agrees to:

• Provide accurate, legal product information, images, UPC/EAN barcodes, supplier authorizations, and warranty details.
• Maintain valid, active seller accounts in good standing on the relevant marketplaces (e.g. eBay, Amazon, Shopify, Walmart).
• Grant authorized delegate permissions (e.g. eBay Multi-User Account Access, Amazon User Permissions) without providing primary master credentials wherever possible.
• Ensure all products listed do not violate marketplace restricted products policies, intellectual property rights, counterfeit statutes, or local trading standards.

5. Pricing, Invoicing & Payment Terms

Service fees are specified in your agreed Statement of Work, checkout tier, or invoice. All prices are quoted in GBP (£) or USD ($) as agreed.

• Monthly Retainers: Invoiced in advance on a recurring monthly billing cycle. Payment is due within 7 days of invoice issuance.
• One-Time Projects: Require an agreed advance deposit (typically 50%) with the balance due upon completion and review of the agreed deliverables.
• Taxes: Fees are exclusive of applicable Value Added Tax (VAT) unless explicitly specified otherwise.

6. Intellectual Property Rights

• Client Materials: The Client retains all ownership of brand trademarks, logos, product imagery, and trade names provided to us.
• Deliverables: Upon receipt of full payment, all custom listing copy, graphics, and descriptions created specifically for the Client become the exclusive property of the Client.
• Agency Tooling: Proprietary spreadsheets, automation scripts, internal macros, and agency templates remain the intellectual property of FLEX SHOP LTD.

7. Warranties, Disclaimers & Third-Party Platforms

We exercise utmost professional skill and diligence in accordance with prevailing industry standards. However, the Client acknowledges that:

• Marketplaces (such as Amazon, eBay, and Walmart) operate autonomous algorithms, policy enforcement teams, and search rank indices that are beyond the direct control of any outside agency.
• While our strategies are designed to maximize conversions and visibility, we do not guarantee specific sales revenue figures, Buy Box retention percentages, or external algorithmic stability.
• The Client remains ultimately responsible for merchant account health, product authenticity, tax compliance, and fulfillment obligations to end consumers.

8. Limitation of Liability

To the maximum extent permitted by English law, in no event shall FLEX SHOP LTD, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, marketplace account suspensions by third-party platforms, data loss, or business interruption.

Our total aggregate liability arising out of or related to these terms shall not exceed the total fees paid by the Client to us during the three (3) months preceding the claim.

9. Termination

Either party may terminate a monthly ongoing retainer agreement by giving thirty (30) days written notice via email. In the event of material breach of these terms, the non-breaching party may terminate immediately. Upon termination, all outstanding unpaid invoices become immediately payable.

10. Governing Law & Jurisdiction

These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
